Terms & Conditions — Quote Studio

Effective date: 05 September 2025 · Entity: iConic Translation World Pvt Ltd (India)

1) Acceptance & Definitions

These Terms govern your use of the Quote Studio and purchase of translation/localization services (“Services”) from iConic Translation World Pvt Ltd (“Company”, “we”, “us”). By generating a quote, clicking “Pay”, confirming an order, or remitting any fees, you (“Client”) accept these Terms.

Deliverables” means translated/reviewed content and associated files; “TM” means translation memories, termbases and glossaries; “Quote” means an offer generated via Quote Studio or issued by our team; “Business Days” exclude weekends and Indian public holidays.

Order of precedence. If these Terms conflict with an executed Master Services Agreement (MSA), Statement of Work (SOW) or Purchase Order with iConic Translation World Pvt Ltd, the executed MSA/SOW/PO prevails to the extent of the conflict.

2) Services & Scope

  • Corporate (India & Global): enterprise translation/localization, software & web/app, regulated content, multimedia, terminology & TM governance.
  • Individuals (India): certified translations for official use (embassy, court, university, employer) per applicable rules.
  • Workflows: standard (professional translator + QA) or ISO-style two-linguist review when contracted.
  • Exclusions: legalisation/apostille/notarization unless expressly agreed; unlawful content or content infringing third-party rights.

3) Orders, Pricing & Taxes

  • Quotes & kickoff. Quotes specify scope, unit (per word/hour/page), languages, TAT and price. Orders commence on funds receipt or per agreed PO/credit terms.
  • Taxes & currency. India GST applies where relevant. Currency is INR (India) or otherwise specified for global projects.
  • Assumptions. Pricing assumes final files and instructions at kickoff; material scope changes may adjust price/TAT via change order.

4) Payments (Methods & Gateways)

4.1 Payment Service Providers (PSPs)

We accept online payments via reputable payment service providers (collectively, the “Payment Gateways”), such as Cashfree, PayU and Razorpay (as available at checkout). Card/UPI/netbanking credentials are captured and processed by the Payment Gateway. iConic Translation World Pvt Ltd does not store card details on its systems.

  • Methods: UPI, cards, netbanking and other options offered by the applicable gateway at checkout.
  • Security: Transactions are encrypted end-to-end and may require additional authentication (e.g., OTP/3-D Secure).
  • Receipts/Invoices: Order confirmation and tax invoice are sent to your registered email.
  • Gateway terms: Use of a gateway is also subject to that provider’s terms and policies.

4.2 Direct Bank Transfer (NEFT/RTGS/IMPS/SWIFT)

For enterprise/B2B orders and where specified in the Quote/Invoice, we accept direct bank transfers. Please add the invoice number or order reference in transfer remarks and email remittance advice for faster reconciliation.

  • Start of work: We commence/continue work on funds receipt or, where agreed, against an approved PO and credit terms.
  • Bank charges: You are responsible for your bank’s transfer charges; ensure net amounts received match the invoice.
  • International remittances: Use SWIFT and any required compliance details provided on the invoice.

4.3 Invoicing & Credit Terms (B2B)

  • Billing cycles: As stated in your SOW/PO/Invoice (milestone, monthly or per-order).
  • Due dates: Unless agreed otherwise, invoices are Net 15/30 from invoice date.
  • Late amounts: May attract interest or reactivation fees as permitted by law and stated on the invoice.
  • Set-off: No set-off unless mandated by law or agreed in writing.

4.4 Reconciliation, Chargebacks & Disputes

  • Payment discrepancies: If you believe you were charged incorrectly, notify us within 7 days with evidence; we will investigate with the Payment Gateway or bank.
  • Chargebacks: If a chargeback is raised, we may pause delivery until resolved. If resolved in our favor, you remain responsible for the fee and any gateway penalties.

4.5 Refunds

Refunds (where applicable) are processed to the original payment method, subject to our Refund Policy and the timelines of the applicable Payment Gateway or bank.

5) Delivery, Review & Acceptance

  • Delivery. Deliverables are shared via secure links/email or client-specified systems.
  • Client review. Please review within the review period stated in the Quote (default: 7 calendar days) and either accept or request corrections aligned to scope.
  • Acceptance. Silence after the review period counts as acceptance for billing and closure.

6) Changes, Cancellations & Refunds

  • Changes. Additional scope (new files, re-writes, style/brand changes after delivery) is billable via change order.
  • Cancellations. If cancelled after work starts, you are liable for work completed and committed resources.
  • Refunds. See Section 4.5 and our Refund Policy.

7) Confidentiality & Security

  • NDAs/MSAs. We treat client content as confidential and use it only to perform the Services.
  • Security. We operate an ISMS aligned to ISO/IEC 27001 principles (role-based access, encryption in transit, vetted vendors, logging, secure deletion per policy).
  • Retention. Working files are retained for limited periods to support corrections/re-issues, unless your contract requires earlier deletion.

8) IP, TM Ownership & AI/MT

  • Ownership. Upon full payment, you own the Deliverables (excluding third-party pre-existing materials/tools).
  • TM/Glossaries. Unless your contract states otherwise, translation memories and glossaries generated for your project are owned by you; we may retain copies solely to fulfil ongoing Services or as required by law.
  • AI/MT usage. We do not train public AI models on your content. Machine Translation is used only if you authorize it, with human post-editing and data-protection terms that disable provider training/retention.

9) Publicity & References (Client Names/Logos/Case Studies)

Client reference license. Client grants iConic Translation World Pvt Ltd a limited, non-exclusive, revocable, royalty-free license to display Client’s name and corporate logo solely to identify Client as a customer on iConic Translation World Pvt Ltd’s websites, proposals/credentials decks and investor materials, subject to Client’s brand guidelines shared in writing.

Case studies & press. Any public case study, press release or attributable quote requires Client’s prior written approval (email sufficient). iConic Translation World Pvt Ltd will submit a draft; Client will not unreasonably withhold or delay approval (10 Business Days).

Confidentiality preserved. Nothing here permits disclosure of Client Confidential Information or personal data beyond what is strictly necessary for approved material.

Revocation. Client may revoke permission at any time by written notice; iConic Translation World Pvt Ltd will remove/update materials within a reasonable time. For brand concerns, write to legal@itranslationworld.com. See also our Brand Permissions page.

10) Warranties & Liability

  • Warranties. We warrant Services will be provided with reasonable skill and care by qualified professionals.
  • Remedy. For any material non-conformity reported within the review period, we will rectify within a reasonable time. This is your exclusive remedy.
  • Limitation. To the maximum extent permitted by law, the aggregate liability of iConic Translation World Pvt Ltd for claims arising out of these Terms or the Services is capped at the fees paid for the specific order giving rise to the claim. iConic Translation World Pvt Ltd is not liable for indirect/consequential damages or lost profits/revenue/data.

11) Compliance & Data Protection

  • Roles. For website operations, sales and billing we act as a controller; for client-provided content we typically act as a processor under your instructions (DPA/NDA on request).
  • Laws. We address India’s DPDP Act and, where applicable, GDPR/UK GDPR/CPRA. See our Privacy Policy for lawful bases, retention and your rights.
  • B2C certified translations. Personal documents are processed only as needed for the service and legal requirements.

12) Third-Party Trademarks

All third-party names and logos on the Sites are trademarks of their respective owners and are used for identification only. No endorsement is implied.

13) Acceptable Use

You agree not to misuse the Sites or Services (for example, uploading unlawful content, malware, or materials that infringe third-party rights; probing security without authorization; scraping at non-reasonable rates).

14) Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (including natural disasters, war, strikes, utility failures, government actions, widespread internet outages). The affected party will notify the other and use reasonable efforts to resume performance.

15) Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Courts at Panjim (Panaji), Goa have exclusive jurisdiction. Parties will first attempt good-faith resolution within 15 days before escalation. Parties may mutually agree to arbitration under the Arbitration and Conciliation Act, 1996 (seat: Goa; language: English).

17) Changes to these Terms

We may update these Terms to reflect legal, technical or business changes. The “Effective date” above will be revised and material changes will be highlighted on this page.
